For sufficient and valuable consideration, receipt of which I acknowledge, I, ___________, with an address of ___________________________________________, hereby certify that I have or will render certain photographer and/or videographer services for Sky Harbor Entertainment, Inc. and Sky Harbor Touring, Inc, (collectively, “Company”) c/o Serling Rooks Hunter McKoy Worob & Averill, LLP, 119 Fifth Avenue, 3rd Floor, New York, NY 10003, Attn: Jeffrey A. Worob, Esq., in connection with Company’s recording artist professionally known as “Owl City” on ____________ at ___________ (the “Event”).

I agree that any and all photographs, audio-visual recordings or other material captured by me at the Event (the “Photographs”) are works made-for-hire and, for copyright purposes, Company is the author of the Photographs and Company owns all rights, title and interest in the Photographs, including, without limitation, the worldwide copyrights and all renewals and extensions of such copyrights, and Company is free to use, re-use, publish and re-publish the Photographs, in whole or in part, individually or in conjunction with other photographs or material of any kind, in any medium now known or hereafter devised, and for any purpose whatsoever, including, without limitation, any and all commercial and non-commercial uses.

I agree that: (a) I will not use, sell or license, or permit any third party to use, sell or license, any of the Photographs in any manner without Company’s prior written consent, provided that I will have the limited right to use the Photographs as part of my professional photographer portfolio and in my professional photographer marketing materials; (b) I will not have the right to review or approve the manner or form in which any of the Photographs may be used by Company or its designees; (c) I will not have the right to use Artist’s name in any manner without Company’s prior written consent; (d) I waive all so-called “moral rights” in the Photographs; and (e) nothing in this Agreement means that Company is obligated to use any of the Photographs or exercise any of Company’s rights in the Photographs.

Company will accord me credit as photographer in uses of the Photographs by or under the control of Company and where appropriate and practicable. All aspects of such credit will be determined in the sole discretion of Company. No failure by Company to accord such credit will be deemed a breach of this Agreement and at no time will I be entitled to prevent or otherwise interfere with Company’s exercise of the rights granted to Company in this Agreement.

I will deliver to Company a copy of each Photograph in a high resolution storage format acceptable to Company within 5 business days following the Event.

I represent and warrant that (i) I am of legal age; (ii) I have the right and authority to grant the rights granted to Company in this Agreement; (iii) the Photographs and their exploitation by Company do not violate the rights of any third party, including, but not limited to, copyright, right of privacy, right of publicity, defamation or contract; and (iv) I have signed this Agreement in reliance on my own judgment or the advice of my representative(s) and have not relied in any way on any representations made by Company or Company’s representatives.

This is the complete agreement between me and Company with respect to the Photographs and this Agreement may not be modified except in writing signed by both me and Company. The relationship between me and Company is that of an independent contractor and this Agreement does not create any partnership, joint venture or similar relationship. This Agreement is governed under the laws of the State of Minnesota applicable to contracts fully performed therein.
